This Policy explains how to refer to PaymentEvolution Corporation and use its names, logos and brand assets. It applies in addition to any Master Services Agreement, Reseller Schedule, API Partner & Reseller Agreement, Order Form or written brand license. If those documents conflict, the more specific written permission controls for the permitted use. Applicable Law always prevails.

1. Our marks

PaymentEvolution’s trademarks and brand assets include PaymentEvolution, PayChequer, product and feature names, logos, icons, slogans, trade dress, domain names and other source identifiers we make available (together, the “Marks”). PaymentEvolution or its licensors own the Marks. This Policy does not transfer ownership.

Product names and availability can change. Use only current assets and names from an approved brand kit or written instruction.

2. Uses that do not need special permission

You may use a PaymentEvolution word mark in plain text to refer truthfully to PaymentEvolution or a compatible product, for example:

  • “We use PaymentEvolution payroll services.”

  • “Our application integrates with the PaymentEvolution API.”

  • “PaymentEvolution is a registered payment service provider.”

The reference must be accurate, no more prominent than reasonably needed, and must not imply sponsorship, endorsement, agency or a relationship that does not exist. Use the mark as an adjective or proper name, preserve spelling and capitalization, and include a trademark symbol where our brand guide requests it.

Fair dealing, news reporting, commentary and other uses permitted by law do not require a license, but must not be misleading.

3. Uses that require written permission

Written permission is required to:

  • use a PaymentEvolution logo or icon;

  • use a Mark in a business, product, service, app, package, event, social-media account or domain name;

  • say “Powered by PaymentEvolution” or use co-branding;

  • use a Mark in advertising, merchandise, video, sponsorship or a public campaign;

  • alter, animate or create a derivative of a brand asset; or

  • white-label or resell a PaymentEvolution Service.

Partners and Resellers may use only the assets, placement and wording allowed by their agreement and current brand guide. Permission is limited, revocable, non-exclusive, non-transferable and ends when the relevant relationship ends.

4. Clear relationship statements

If you are a Partner, Reseller, developer, advisor or integration provider, clearly identify your own legal name and role. Unless a signed agreement expressly says otherwise, use wording such as:

“[Your name] is an independent service provider. PaymentEvolution provides the identified payroll or payment technology. [Your name] is not an agent of PaymentEvolution.”

White-label permission does not allow you to hide PaymentEvolution’s identity where a legal, payment, privacy, trust, security or regulatory disclosure requires it.

5. Regulated-service statements

References to PaymentEvolution’s payment activities must be precise. You must not say or imply that:

  • PaymentEvolution is a bank, trust company or deposit-taking institution;

  • a PaymentEvolution Account is a bank or deposit account;

  • funds or Accounts are guaranteed, risk-free or insured by CDIC at the beneficiary level;

  • Bank of Canada registration is a license, approval, certification, guarantee or endorsement;

  • the Bank of Canada, Payments Canada, CRA, FINTRAC or another authority sponsors or recommends PaymentEvolution;

  • all funds are safeguarded regardless of their actual status;

  • funds are In-Transit merely because they are pending, processing, clearing, settling or subject to a hold period;

  • PaymentEvolution or a Partner may use Client Funds as working capital; or

  • an End User will receive interest on Client Funds, unless PaymentEvolution has issued a specific written statement saying so.

An accurate statement, subject to confirming the current registry, is:

“PaymentEvolution Corporation is registered with the Bank of Canada as a payment service provider under the Retail Payment Activities Act. Registration is not a license or endorsement.”

Use the funds and interest disclosures supplied by PaymentEvolution without alteration.

6. Logo and asset rules

When written permission allows use of a logo or other asset:

  • use the current file without redrawing it;

  • preserve proportions, colours, clear space and minimum size;

  • use a background with adequate contrast;

  • do not crop, rotate, distort, outline, add effects, recolour or combine it with another logo;

  • do not make it the most prominent brand unless the agreement permits it;

  • do not use it as part of your own logo, app icon or favicon; and

  • include attribution or a link when the brand guide requires it.

Downloaded assets may include additional instructions. Those instructions form part of the permission.

7. Prohibited uses

You must not use a Mark in a way that:

  • is false, deceptive, defamatory, obscene, unlawful or likely to cause confusion;

  • suggests a relationship, approval, exclusivity, certification or guarantee that does not exist;

  • misrepresents a Service, price, legal term, privacy practice, security control, payment status or professional role;

  • appears in a company or product name that could be mistaken for PaymentEvolution;

  • copies PaymentEvolution’s site, interface or trade dress;

  • is connected with malware, fraud, discrimination, hate, illegal activity or infringement;

  • weakens, tarnishes or challenges PaymentEvolution’s rights; or

  • registers or uses a confusing domain, account name, keyword or search advertisement.

You may not register a PaymentEvolution Mark or a confusingly similar term as a trademark, business name, domain or social-media handle. If you acquired one without permission, you agree to transfer it to PaymentEvolution at cost on request where legally permitted.

8. Review, correction and termination

PaymentEvolution may review a licensed use and reasonably require a correction to protect users, legal accuracy or brand integrity. You will make an urgent legal or misleading-claim correction immediately and another correction within the reasonable period stated in the notice.

Permission ends when its agreement ends, the permitted purpose ends, or PaymentEvolution revokes it for material breach. You must then stop new use and remove digital use promptly. Existing printed material may be used only if PaymentEvolution agrees and it is not misleading or unlawful.

9. Reporting misuse

Please report suspected impersonation, confusing domains, misleading regulatory statements or unauthorized brand use to info@paymentevolution.com. Include the location, screenshots and relevant contact information if available.

10. Disclaimer and reservation of rights

Brand assets are provided “as is” to the extent law permits. PaymentEvolution does not promise that a proposed use is lawful in your jurisdiction or does not conflict with a third party’s rights; obtain your own advice for material campaigns.

PaymentEvolution reserves every right not expressly granted. A delay in objecting to a use is not a waiver. Remedies under a separate agreement and Applicable Law remain available.
